AGREED MINUTES OF TECHNICAL DISCUSSIONS

BETWEEN

THE LEBANESE REPUBLIC

AND

INTERNATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT (IBRD)

FOR THE

SECOND GREATER BEIRUT WATER SUPPLY PROJECT (SGBWSP)

November 19-22, 2024

1. Introduction: Technical Discussions for the proposed IBRD Loan in the amount of US$257.8 million for the Second Greater Beirut Water Supply Project (the “Project”) between representatives of Lebanese Republic (the “Borrower”), including the Ministry of Energy and Water (“MOEW”), the Prime Minister Office (“PMO”), the Ministry of Finance (“MOF”), the Council for Development and Reconstruction (“CDR”), and the Beirut Mount Lebanon Water Establishment (“BMLWE”) (collectively referred to as the “Borrower Delegation”) and representatives of the International Bank for Reconstruction and Development (“IBRD”, the “Bank” or “Bank Delegation”) (the Borrower Delegation and the Bank Delegation collectively referred to as the “Parties”) were held virtually on November 19 to 22, 2024. The composition of the Borrower Delegation and Bank Delegation are listed in Annex 1 of these Minutes. The letter with the Borrower’s designated delegation to hold Technical Discussions can be found in Annex 2.

2. Documents Discussed: The Parties reviewed and agreed on the negotiated draft versions of the following: (i) the Loan Agreement (LA) between the Lebanese Republic and the IBRD, dated November 22, 2024 (Annex 3), (ii) the Project Appraisal Document, dated November 22, 2024 (Annex 4); (iii) the Disbursement Letter, dated November 22, 2024 (Annex 5); (iv) the Environmental and Social Commitment Plan, dated November 22, 2024 (Annex 6). In addition, the following matters were discussed, and understandings reached as noted.

3. Project Development Objective and Components: The agreed Project Development Objective is “to improve the water supply services in the Greater Beirut and Mount Lebanon area.” The Delegations agreed that the compensation for the land expropriation for the works under component 1 and component 2 will be financed with IBRD funds, and therefore a new component 4, titled “Land Acquisition and Resettlement Compensation”, in the amount of US$ 15 million will be included as part of the Project scope (see paragraph 8 below). The parties agreed to set out clear boundaries for the eligibility of rehabilitation works for key project related infrastructure under the Project, which are detailed in the definitions of the Loan Agreement. The Borrower Delegation requested that the internship program under Part 5(b)(ii) of the Project be funded from grant funds and not from Loan proceeds. Accordingly, $200,000 have been removed from the loan amount of the Project.

The program will be considered an unpaid certification and apprenticeship program rather than a paid internship. The Bank will support the Borrower in exploring grant funding options for the apprenticeship program to support apprentices and BMLWE with selected costs related to the program. In addition, at the request of the Borrower Delegation, the delegations discussed that should the Borrower be able to mobilize additional grant funds, the Loan Agreement does not preclude the utilization of those grant funds for any of the proposed Project activities and the related costs savings under the Loan could be either repurposed or cancelled at the request of the Borrower. The MoEW requested the addition of a US$3 million activity under Component 3 related to the Digital Transformation of the MoEW. The Bank delegation requested a detailed activity scope of work and the need of a fiduciary assessment of MoEW. The MoEW also requested support on the development of a Financial Model for the sector, as well as for other related activities. The Bank delegation proposes that the Bank will together with MoEW continue to explore the request for digitalization with the expectation that the activities may be supported through an upcoming new Bank-funded proposed operation on digitalization in Lebanon and/or supporting MoEW to mobilize grants to this effect. In addition, the Delegations discussed the possibility of supporting BMLWE's / BMLWE’s financial model with additional support through mobilization of grants.

4. Implementation Arrangements. Both CDR and BMLWE were confirmed as the implementing agencies for the Project. The Borrower Delegation raised for discussion to include a representative from the MoEW in the PMU in a coordination role between stakeholders. This request was also communicated to the World Bank by H.E. the Minister of Energy and Water in a letter dated November 19, 2024. The Parties agreed that technical assistance to support Project oversight by MoEW will be mobilized as part of component 5 to support the implementation of Project's / Project’s activities in alignment with the MoEW's / MoEW’s National Water Sector Strategy. The remaining aspects of the Implementation Arrangements were agreed as detailed in the Loan Agreement and the Project Appraisal Document.

5. Contingent Emergency Response Component / Project (CERC / CERP): The Borrower Delegation informed the Bank Delegation that if the Borrower requests the CERC to be triggered during the implementation of the proposed Project, it is expected the CERC will be used for an emergency response in the water sector and in a way that would not financially jeopardize the implementation of the proposed Project (the Borrower delegation anticipated that, if triggered, the CERC would not use more than 10% of the Loan amount). The preferred strategic approach for the restructuring of the Project in the context of CERC will be further determined in the Project Operations Manual, to be adopted as an effectiveness condition. The Parties agreed to remove the RRO/CERP option from the Loan Agreement at the request of the Borrower Delegation.

6. Conditions of Effectiveness. The effectiveness deadline was set to 180 days after signature. The set-up of the PMUs by CDR and BMLWE, respectively, will be a dated covenant to be complied within 1 month after Project Effective Date. Therefore, the Parties agreed to remove the effectiveness condition on the establishment of the respective PMUs set forth in Section 5.01 (b) under Article V of the Loan Agreement.

7. In addition, the Parties discussed that the Bank will require a legal opinion from the Borrower as an additional condition of effectiveness pursuant to Article 9.02(a) of the General Conditions, confirming that the Loan Agreement has been duly authorized or ratified by, and executed and delivered on … / its behalf of the Borrower and is legally binding upon it in accordance with its terms.

8. The Borrower Delegation was encouraged by the Bank Delegation to satisfy the effectiveness conditions in a timely manner.

9. The signed loan choice worksheet (LCW) is expected to be received from the Borrower together with the authorization to negotiate, and the repayment terms will be reflected in the updated draft Loan Agreement and officially confirmed in the Minutes of Negotiations (upgrading these Minutes of Technical Discussions). The amortization schedules to be prepared on the basis of such LCW will be based on an estimated Project approval date of December 19, 2024. Should the approval date of the proposed Project be modified, the amortization schedules may be affected.

10. Resettlement compensation funds flow mechanism. The Parties discussed two alternative fund flow mechanisms for the financing of resettlement compensation under Part 4 of the Project. Under the current lapsed loan status, the Bank will only be able to either make (a) reimbursements to the Borrower for payments to PAPs from the Borrower’s own funds or (b) direct payments to the individual PAPs (all based on providing supporting acceptable documentation and bank account details related to eligible PAPs. Supporting documentation will include the Expropriation Commission decision, decision by CDR to pay and acceptable deposit information).

11. Provided that the Borrower’s lapsed loan status is resolved and cleared by the Bank, the Bank and Borrower will consider the option of opening a Designated Account (DA) in USD for the purposes of payment of PAPs. Payments can be made from the DA or alternatively, CDR could open an Operational Account (OA) in local currency to deposit the funds from the DA to pay the beneficiaries under terms to be further confirmed and acceptable to the Bank. Based on actual payment done to the PAPs, CDR will submit payment receipts confirming that the PAPs have received the funds to the Bank, which will then replenish/transfer funds for the next batch of PAPs. If payments are not made within the agreed timeline, amounts must be refunded to the Bank or repurposed for other PAPs that have not yet claimed their compensation. Funds remain available at the Bank throughout Project implementation for all notified PAPs.

12. The Bank Delegation clarified that the Project funds may only be incurred until the Closing Date, and requests for withdrawal applications may only be submitted to the Bank until the end of the Grace Period. Therefore, in the case of outstanding compensations for the resettlement at Project Closing Date, any remaining funds which have not yet been claimed by PAPs shall be refunded to the Bank. For the avoidance of doubt, the Parties confirmed that to ensure that PAPs who have not claimed their compensation by the Closing Date of the Project are compensated, it is understood that the Borrower will be responsible to provide compensation to such remaining PAPs from its own resources after the end of the grace period.

13. The Parties agreed to reflect the general principles of the funds flow mechanism as part of the POM, to be adopted as an effectiveness condition. The Parties also agreed to set more detailed arrangements satisfactory to the Bank as a disbursement condition in the Loan Agreement for the category financing the Resettlement Compensation under the Part 4 of the Project.

14. Disbursement and Financial Information letter (DFIL). The Parties reviewed and agreed on the content of the DFIL, attached to these minutes (Annex 5), and the proposed disbursement and financial arrangements for the Project. The closing date was confirmed as December 31, 2032.

15. Financial Management: Financial Management (FM) arrangements have been discussed and agreed upon. FM will be carried out by each agency as per Bank rules and regulations.

a. Interim Financial Reports: Separate IFRS will be prepared by BMLWE and CDR and submitted quarterly to the Bank by no later than 45 days after the end of each calendar quarter.

b. Project Audit Reports: Each agency will recruit an external auditor with TORs acceptable to the Bank no later than 6 months after the Effective Date. CDR and BMLWE appointed external auditors will prepare separate annual project financial statements and audit reports for their respective parts. These updated audit arrangements are to be recorded in the POM. The audit will cover each fiscal year of the Project and be submitted no later than six months after end of each fiscal year. The audit is a requirement as per Bank policies and procedures with respect of providing assurance, from an independent perspective and based on international standards, on the use of Project funds.

c. Entity Audits for BMLWE: The BMLWE Entity Audit will be required for each fiscal year of the project. BMLWE will recruit an external auditor with terms of references acceptable to the Bank. The entity audit will be conducted as per Bank policies and procedures with respect of providing assurance, from an independent perspective and based on international standards. The audit will be due no later than nine months after the end of each fiscal year.

d. The Parties clarified that the respective subsidiary agreements between the Borrower and CDR and BMLWE will cascade the responsibility for CDR and BMLWE to submit the Project's financial statements to the Borrower and the Bank, and have these statements audited by independent auditors, in accordance with the Loan Agreement. Detailed implementation arrangements between the Project entities will be further elaborated in the Project Operations Manual, which is an effectiveness condition.

16. Procurement. The IBRD Delegation clarified that procurement will be carried out in accordance with the World Bank Procurement Regulations for Investment-Project / Investment Project Financing, dated September 2023, the Procurement Plan approved by IBRD and the procurement procedures to be outlined in the POM. Relevant procurement arrangements

were discussed. The IBRD delegation clarified the legal basis of applicability of the Bank's / Bank’s procurement regulations is found in the General Conditions which are an integral part of the Loan Agreement, as well as the process of advance procurement. The IBRD delegation also clarified that the two Project implementing entities, represented by their PMUs, will be staffed with shared environment, social and occupational health and safety specialists by Project effectiveness and in line with the provisions of the Environmental and Social Commitment Plan (ESCP) and the POM. The Parties agreed that the shared environment and occupational health and safety specialist, and the social specialist will be recruited by both CDR and BMLWE under part-time contracts. CDR and BMLWE will redisclose and update the disclosure date of all the environmental and social documents, to reflect the addition of Component 4, among other changes. The Bank Delegation clarified that the Project requires the Lake Qaraoun Dam to be assessed by a Dam Safety Panel of Experts (DSPOE) to be availed by the BMLWE. If applicable and to the extent possible, the proposed Project will use the same DSPOE as the Lebanon Renewable Energy and System Reinforcement Project (Loan No. IBRD 9731-LB) recently approved by the Board but not yet effective. The Parties agreed that the cooperation agreement to be signed between the LRA and the BMLWE under the proposed Project will include provisions to ensure arrangements to that effect. The Parties agreed on the actions and material measures set out in the ESCP (Annex 6), including the RAPs to ensure that the Project is carried out in accordance with the relevant Environmental and Social Standards (ESSs) of the World Bank.

18. Remedies of the Bank. The Parties clarified that Borrower will immediately inform the World Bank of any proposed modification to the Regulatory Framework, to the CDR Legislation or to the BMLWE Legislation, in accordance with Section 5.10 of the General Conditions. In this respect, The Bank Delegation clarified that without prejudice to the World Bank's / Bank’s right to exercise any legal remedies in accordance with Article IV of the Loan Agreement and the General Conditions, if in the opinion of the Bank, any such modification will affect materially and adversely the Borrower's / Borrower’s ability to perform any of its obligations under the Loan Agreement, the World Bank intends to consult with the Borrower in line with Section 5.10 of the General Conditions. Furthermore, the Parties agreed that the event of acceleration of repayments will only occur if such modification occurs and continues unresolved for a period of more than 60 days after the Bank notifies the Borrower of said modification.
