What does Lebanese law require to form a limited liability company (SARL) or a joint-stock company (SAL)?

Last checked 21 October 2026

The law is the Arabic text quoted on this page: it is official and more accurate. This English explanation is an unofficial aid to find and read it, and where the two differ, the Arabic governs.

A SARL needs 1 to 20 partners and at least 5,000,000 LBP of capital, fully paid into a bank, plus a deed and commercial registration. A SAL needs at least 3 founders who are not barred, and 30,000,000 LBP fully subscribed, with a quarter of each share paid in. Its statutes go to a notary, and it is registered within the month after formation. A holding company is a SAL, but SAL rules apply to it only where its own decree does not conflict.
