Anyone aged 18 can contract, and a contract forms when an acceptance matches the offer exactly, then binds both parties in good faith. If the other side fails to perform, you may demand performance or ask a court to cancel with damages, unless the contract expressly cancels automatically. Claims expire after 10 years unless a 5 or 2-year period applies, and a creditor may keep a thing linked to the debt until paid.

When does a contract form and bind the parties?
A contract forms only when the acceptance matches the offer exactly. Under Article 182, a conditional or qualified reply is a rejection and a new offer.
Under Article 221, a lawfully formed contract binds the parties. It must be understood, interpreted and performed according to good faith, equity and custom.
Who can make a contract?
A person who has completed 18 years can take on obligations, unless a legal text declares that person incapable (Article 215).
Under Article 216, a contract made by a minor with discernment can be annulled. Only the incapable person, his representative or his heirs may claim this. If the contract needed no special form, the minor must prove lesion to annul it.
This page does not cover minors authorised to trade, legal interdiction, or defects of consent such as deceit and fear.
What can you do if the other side does not perform?
Article 241 implies a cancellation clause in every contract with obligations on both sides. It applies when a party fails to perform and cannot plead impossibility, unless the law makes an exception. Cancellation is still not automatic. The other party chooses forced performance or cancellation with damages, and only a court cancels in principle.
The parties may agree that the contract cancels automatically on non-performance, without a court (Article 241). A formal notice recording the failure is still needed, unless an express, unequivocal clause waives it.
This page does not cover grace periods, ending a contract for the future only, or the amount of contractual damages.
When must you pay for harm you cause?
Under Article 122, a person with discernment who causes unlawful harm to another's interest must compensate. A person without capacity is liable for unlawful acts done with awareness.
If a person without discernment causes harm and the victim cannot recover from the guardian, the judge may award fair compensation against that person.
This page does not cover negligence, abuse of a right, or liability for others.
How long do you have to bring a claim?
Article 349 sets 10 years as the limitation period in principle. The shorter periods in the table displace it for the claims listed.
Under Article 346, a creditor cannot waive limitation in advance, or lengthen or shorten the period. A waiver is valid only after the period has run.

When can you keep a thing until you are paid?
Article 272 gives a right of retention wherever the holder's claim is connected to the obligation he withholds. Examples are a possessor, an exploiter and a pledgee. It covers movables and immovables, whatever the holder's good or bad faith. It never covers lost or stolen things, or things taken by force from their owner.
Article 677 lets a craftsman keep the work and materials until paid his price or fee and any advances. This does not apply if the contract sets payment at a fixed term. While keeping them, he is liable under the rules on pledgees.
